Article 1 - Name
The name of the association shall be ‘Oslo International School Parents’ Association’, also known as ‘OISPA’.
Article 2 – Objectives
The objectives of OISPA shall be:
to give practical assistance and support to the school for the benefit of the pupils,
to foster a sense of community within the school,
to promote the welfare of the pupils and their families in school, community and home.
To achieve these objectives, OISPA shall be empowered to raise funds and exercise such functions as deemed appropriate by the OISPA’s executive committee (Executive Committee).
Article 3 – Membership
All parents of children attending Oslo International School are members of OISPA. No membership fees are levied.
Article 4 – Executive Committee
The management and control of OISPA shall be vested in an Executive Committee elected by the membership.
All members of the OIS community are eligible for election,
The Executive Committee shall include at least a Chairperson, Treasurer and Secretary,
A quorum shall be three members of the Executive Committee,
The Executive Committee shall be elected by the majority of members present in person at the Annual General Meeting (AGM). The newly appointed committee will assume its responsibilities at the start of the next school
An officer or officers of the Executive Committee shall inform the Head of School of OISPA’s activities on a monthly basis or as deemed appropriate by the Executive Committee. The Executive Committee may seek advice and guidance from the Head of School in relation to its activities.
In the event that an officer may resign or a position is not filled at the AGM, the resulting vacancy shall be appointed by a quorum of members of the Executive Committee for the unexpired term.
Article 5 – Policy
OISPA shall be non commercial and not for profit. The name of the association or of its officers in their official capacities shall not be used in any connection with a commercial concern for any purpose other than the regular work of OISPA.
Article 6 - Meetings
The Executive Committee shall arrange an Annual General Meeting in May to elect a new committee and to present its report to members. The report shall include an overview of the year’s activities, a financial report, and details of the funds allocated by OISPA to the school.
Minutes of the AGM (and any EGM) shall be published on the OISPA website (www.oispa.com) within seven days of the AGM (or EGM). If no objections to the minutes have been received in writing by the Executive Committee within 14 days of publication, the minutes will be deemed to be approved.
The Executive Committee shall schedule regular Executive Committee meetings. Notices as to dates and times of these meetings, together with minutes of past meetings shall be made available to all members of the Association via the OISPA website. Minutes of these regular meetings will be approved at the next full meeting of the Executive Committee.
Attendance of Executive Committee meetings is open to all members, who may table motions and participate in debates. However voting shall be restricted to members of the Executive Committee.
The Executive Committee may invite the Head of School, members of staff, board members or other interested parties to attend any meeting or part thereof.
Article 7 – Amendments to the Constitution
The constitution may be amended at the AGM by a two-thirds vote of the members present in person, provided all members have been notified of the amendment in writing 14 days prior to the meeting.
Article 8 – Dissolution
OISPA may be dissolved by a majority of 75% of members who vote on such a motion at a general meeting. Notice of such a motion shall be given to all members not less than 21 days prior to the relevant general meeting.
Should OISPA be dissolved, any assets or holdings will be distributed by the Executive Committee for the benefit of the pupils of Oslo International School.
Any matter not provided for in the constitution shall be dealt with by the Executive Committee, whose decision shall be deemed final.
